Due to the fact that this site is, and will continue to evolve, prices may change, and we may modify or discontinue this site and all the services available within it without any notice or liability to you. Also, we may limit, suspend, prohibit access to our website, remove hosted content, and take technical and legal steps to keep users off the site if we have reasons to believe that they are creating problems, or acting inconsistently with our policies.  We also reserve the right to cancel unconfirmed accounts.

Adrally serves as an online market place, bringing buyers and service providers together.  Adrally is not directly involved in the actual transactions between the service buyers and service providers on this website. For that reason, we do not have any control over the truth, accuracy, quality and safety of any posting made by users of this website. We also do not verify not confirm the validity of the qualifications of service providers on this site.  We advice that you carefully analyze and use your judgment when dealing with any user on this site.  Adrally is considered the official finder of all projects and service providers on this site, therefore charges a transaction fee.  Users of this site are responsible for meeting any legal requirement for any legal entity.

Service providers and service buyers within Adrally can all create profiles which contains their contact information and more information about their services which may be linked to other sites on the internet. Adrally provides this information as a service, and does not confirm or verify the accuracy of the information. Adrally is not responsible for this information.

Adrally charges subscription fees to be a service provider. Subscription may only be paid monthly. Payment may be made via credit card account after the user has agreed to Adrally's terms and conditions. The billing period begins on the date Adrally receives the user's payment to become a service provider on www.adrally.com. There is no charge for a service buyer.

All subscription fees are automatically renewed, unless cancelled by User. If a User pays by credit card, Adrally will automatically charge the monthly fee to the User's supplied credit card and You authorize Us to charge such credit card for the appropriate subscription fees and amounts stated. Adrally reserves the right to increase subscription fees at any time upon reasonable notification to service providers posted on this site.  Users may upgrade their package from service buyer to service provider at anytime in order to start bidding and receiving projects.

 Adrally Online reserves the right to increase subscription fees or to institute new fees at any time, upon reasonable notice posted in advance on this Site. The renewal charges will be the same as the regular subscription fees as described above, unless otherwise notified in advance.

Downgrades or cancellation of service will not result in any form of refund.  All subscription fees are charged up front. The cancellation of a subscription may take effect immediately or at the end of the billing cycle. There are no fees for re-subscribing at a later date.

As a user of Adrally, you can post information, data, text and video on the site, but under no circumstance should you post slogans, logo or seals from other third parties on any part of the site, except they are provided by Adrally or you have sought and received permission from Adrally to post such information. And by posting information on Adrally, you are warranting that the owner of such Content has expressly granted, a worldwide, royalty-free, perpetual, irrevocable, fully sub-licensable, non-exclusive right to use, reproduce, modify, transmit, distribute, perform, display and delete such Content (in whole or in part) and/or to incorporate such Content in other works in any form, media or technology now known or later developed.

Any contact information you provide while creating your profile will be displayed on your page, so by providing that information, you agree to Adrally online policies on the release of contact information. You also agree to providing true and accurate information as prompted by the registration form, and keep updating that information to maintain its accuracy.  You also agree that whenever you post information on Adrally.com (this includes posting a request for services, bidding on posted projects, and/or posting your profile), you agree to provide true, accurate and complete information.  Adrally reserves the right to terminate your account upon the discovery that the information you provided is inaccurate or incomplete.

You also agree never to forward or sell your Adrally account or any of its components (this includes your feedback, portfolio est.)

You agree to be financially responsible for your activities on Adrally and purchase of services.
Once you have accepted a service provider's bid, and the service provider has accepted the project respectively, unless such transaction is prohibited by law or by this agreement; the buyer agrees to purchase the service and the service provider agrees to provide the service according to the terms of the final bid or business terms agreed by both parties subject to any increase or decrease in project scope.  Beginning June 1, 2006, Adrally will commence charging a 2% commission fee of the final bid amount for any contract awarded through this website.

You agree not to engage in any action or activities meant to circumvent our site or our stated fees. All projects must be posted, giving service providers the opportunity to bid then the service provider with the best package selected.  You must not offer service to a buyer who has posted a project through Adrally without using the site to place a bid.

When there is an upgrade or modification to the services or prices offered by Adrally, members will be notified through postings on the site. You also authorize Adrally to send notices to you via electronic mail except you notify customer service in writing not to do so. You will be considered to have received notice when it is maid available to you by posting on the site.

To cancel you service, send an email to cancel@adrally.com with your account information. Full Name, Phone Number, and address.  Please explain in detail the nature of your request and how many subscriptions you wish to cancel.  Cancellation may be immediate or at the end of the billing cycle. No refunds can be given.

You agree to defend, indemnify, and hold harmless Adrally, its officers, directors, employees, agents and partners, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, made by any third party due to or resulting from Your use of the Site or the Site Content, including without limitation claims against Adrally for unsatisfactory performance of services listed on the Site, or Your violation of this User Agreement.

ADRALLY DOES NOT GUARANTEE THAT THE SITE (INCLUDING THIRD PARTY APPLICATIONS AND SITE CONTENTS) WILL MEET USER'S REQUIREMENTS, OR THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE. NOR DOES ADRALLY GUARANTEE THE RESULTS THAT MAY BE OBTAINED FROM THE SITE OR THE ACCURACY AND RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SITE. ADRALLY MAKES NO WARRANTY REGARDING ANY GOODS OR SERVICES PURCHASED OR OBTAINED THROUGH THE SITE OR ANY TRANSACTIONS ENTERED INTO THROUGH THE SITE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY USER FROM ADRALLY OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

BILLING:
Fees for Adrally's services:
Unless otherwise stated, all fees are quoted in U.S. Dollars and therefore Adrally is not responsible for normal currency fluctuations that may occur when billing or crediting a credit or debit card denominated in a currency other than the US dollar. You are also responsible for paying all fees and applicable taxes associated with the Site in a timely manner with a valid payment method. If your payment method fails or your account is past due, we may collect fees owed using other collection mechanisms. (This includes charging other payment methods on file with us or retaining collection agencies and legal counsel.) Not paying  will result in Adrally disabling your account.

By agreeing to the terms of this Payment Service Agreement, You agree to accept all disclosures and all other communications between us electronically at the email address You provide. (This does not supersede other notification terms of The Terms and Conditions of Use.) If You have any questions or comments about the information contained here, please contact customer service.

Service buyers can use Adrally's services to post, buy and manage projects for free, but Adrally charges $3.99 a month for service providers. Adrally will also charge a 2.00% commission fee for all services awarded through Adrally. Adrally will not charge more than $5000 dollars in commission for any project awarded. In the event where transaction fee due has not been paid, Adrally reserve the right to prohibit any or all further activities by the Service Provider until such Transaction Fee is paid in full.

Even though all fees are quoted in U.S. Dollars, fees may be paid in any currency. Please note however that payments made in other currencies may take several weeks to process, and balance adjustments could be delayed.

Service providers and buyers are responsible for meeting all legal requirements for any legal entity. This includes taxes and payroll. Adrally is not obligated to determine whether sales or use taxes apply and is not responsible to collect, remit or report any sales or use taxes arising from any transaction.

We reserve the right to change commission fees at any time. However, the new fees will only apply to projects awarded after notification of the new fee.

How to pay for a service:
Before an integrated payment system is integrated into Adrally.com, Adrally is suggests using the services of MoneyBookers (moneybookers.com) or Paypal to give service providers on the site the ability to collect payment from service buyers worldwide for their service.  Buyers and service providers using this system will create their individual accounts, where they can deposit money either through their checking account, or credit card.  Service buyers can then transfer funds into service providers account.

Due to the fact that MoneyBookers is an external vendor, Adrally does not have any control over users accounts. Adrally cannot freeze of, withhold or withdraw money from service buyers or service provider's accounts.  All commission will be added at the end of the month, and will be reflected in the following months statement.

Since both Moneybookers and Paypal are not directly affiliated with Adrally,  We strongly recommend you contact them immediately if you need to stop a payment or if you suspect fraudulent activity on your MoneyBookers or Paypal account.

Disputes Between Buyers and Service Providers:
Any disputes between service providers and buyers remain between such Buyers and Service Providers. By using Adrally and MoneyBookers Payment Service, You acknowledge that Adrally will not be a party to any such dispute or be obligated to take any action or refrain from taking any action toward resolving any such dispute.

Your password:
Just like any other personal information, you need to safeguard the user id and password you use to access this website. Adrally will assume any one using this site using your information is you, or is authorized by you.

This website contains links to other websites and/or resources. Adrally is not in anyway responsible for the content, accuracy, advertising or products on or available from such sites or resources. Please, use those links at your own risk.

Limitation of Liability
NEITHER ADRALLY NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SITE (INCLUDING, BUT NOT LIMITED TO, THIRD PARTY APPLICATIONS AND SITE CONTENT) SHALL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL OR INDIRECT DAMAGES RESULTING FROM YOUR ACCESS TO, OR USE OF, OR INABILITY TO USE THE SITE AND THE SITE CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE KNOW OF THE POSSIBILITY OF SUCH DAMAGE.
